Official RULES and CONDITIONS of

the promotion under the code name “Noxprey promotional pack”

 

  1. GENERAL PROVISIONS

1.1. Official rules and conditions of the promotion under the code name “Noxprey promotional pack” (hereinafter referred to as — Rules) define the procedure and conditions for conducting the Promotion for Participants within the scope of the marketing event carried out by Ukrainian-Spanish Joint Venture “Sperco Ukraine” in the form of Limited Liability Company under the code name “Noxprey promotional pack” (hereinafter referred to as — Promotion).

1.2. Ukrainian-Spanish Joint Venture “Sperco Ukraine” in the form of Limited Liability Company — a legal entity incorporated and existing under the laws of Ukraine, EDRPOU identification code: 20112362, having its registered address at 25, 600-richia str., Vinnytsia, Ukraine, 21027, is the organizer and executor of the Promotion (hereinafter referred to as — Executor or Organizer).

1.3. The purpose of this Promotion is to inform distributors of medicinal products and medical devices about the products of the Organizer distributed under the scope of its business activities, as well as to increase sales volumes.

 

  1. CONDITIONS OF THE PROMOTION

2.1. The promotion is held on the whole territory of Ukraine (excluding the Autonomous Republic of Crimea and temporarily occupied territories in Donetsk and Luhansk regions)*.

2.2. Period of Promotion — commencing from 01 January 2020 until manufacturer`s warehouse runs out of inventory for the promotional items (hereinafter referred to as – “Promotion term” or “Promotion duration”, or “Promotion period”).

2.3. Official conditions for conducting Promotion are published online on the website of the Executor. Check out the rules by the following link https://sperco.ua (hereinafter referred to as — Website).

2.4. Terms of Promotion may be amended in the manner prescribed by the Rules.

2.5. The Rules of the Promotion may be amended and/or supplemented by the Organizer of the Promotion throughout the entire Promotion period. Such amendments and / or supplements to these Rules shall come into effect only upon their approval by the Organizer and publication of a new version of these Rules on the Website unless otherwise specified in the amendments and / or supplements to these Rules. If the Participant continues to take part in the Promotion after the introduction of the amendments to the Rules, the Participant shall be deemed to have accepted these amendments to the Rules.

 

  1. PROMOTIONAL PRODUCTS

3.1. The following products participate in the promotion:

– “Promotional pack: Noxprey nasal spray 0,005% – 10 ml + Noxprey Aqua, isotonic solution – 20 ml” which includes medicinal product “Noxprey” (RC MoH of Ukraine: UA/1703/01/01 of 21.03.2019) and medical device “Noxprey Aqua” (Declaration of conformity No. UA.TR.753.D.20112362/IS/DEC/001 of 31.05.2018) (hereinafter referred to as — Promotional products).

3.2. Quantity of promotional products is limited.

 

  1. Requirements to the participants of promotion

4.1. Legal entities who met the following requirements can participate in the Promotion:

– legal entities meeting all rules and conditions of this Promotion;

– legal entities incorporated and existing under the laws of Ukraine;

– legal entities carrying out their business activity in wholesale trade of pharmaceutical goods;

– legal entities holding license for wholesale trade in pharmaceutical products;

– legal entities covering 90 (ninety) % of the territory of Ukraine (hereinafter referred to as – Participants or Participant of the Promotion).

4.2. The Executor of the Promotion shall reserve the right to exclude the Participants who violated the above-mentioned guarantees from the participation in the Promotion.

4.3. The Participant of the Promotion that does not comply or improperly comply with the terms of these Rules forfeits the right for further participation in the Promotion.

 

  1. TERMS OF PARTICIPATION IN THE PROMOTION AND PROMOTION CONTENT

5.1. The Participant of the Promotion is a legal entity who meets the requirements of the section 4 of these Rules and has properly met all the conditions of these Rules.

5.2. The sale of Promotional products from the Executor to the Participants the cost of which is equal to the cost of the medicinal product “Noxprey” (RC MoH of Ukraine: UA/1703/01/01 of 21.03.2019) is envisaged within the scope of this Promotion.

 

  1. Miscellaneous

6.1. The Participant of the Promotion shall not be liable for any failure to perform its obligations under these Rules due to force majeure, such as, natural disasters, fire, floods, military actions of any kind, blockade, substantial changes in legislation valid on the territory of the Promotion, other circumstances beyond the control of the Executor.

6.2. By participating in the Promotion, each Participant thereby confirms the fact of familiarization with these Rules of the Promotion and his/her full and unconditional agreement with them.

6.3. In case of a situation that allows ambiguous interpretation of these Rules and / or issues not regulated by these Rules, the final decision is made by the Executor of the Promotion in accordance with the requirements of the current laws of Ukraine. The Executor`s decision is final and is not subject to appeal.

6.4. This Promotion is not а public offer, lottery or gambling service.

6.5. By participating in the Promotion, each Participant thereby confirms his/her consent for a free of charge and permanent: (і) receipt, collection, processing, registration, accumulation, storage, change, renewal and use of information considered to be personal data under the legislation requirements; (іі) entering this information to personal databases. Granting of such consent shall be considered within the meaning of Articles 296, 307, and 308 of the Civil Code of Ukraine, Law of Ukraine “On Protection of personal data”.

6.6. Use and dissemination of information considered as personal data of the Participants is carried out only to the extent necessary for ensuring activities of the Participants and/or protection of their interests. By participating in the Promotion, its Participants declare that all information constituting personal data is given to the Participants on legal grounds and they have rights to use and manage it, including for promotional purposes.

 

* in connection with the adoption of the Law of Ukraine No. 1207-VII “On ensuring the rights and freedoms of citizens in the temporarily occupied territory of Ukraine” of 15.04.2014, the Decree of the President of Ukraine “On Decision of the Council of National Security and Defence of Ukraine on “On Immediate Measures to Rebuff Terrorism Threat and to Retain Territorial Integrity of Ukraine” of 13.04.2014, Law of Ukraine No. 1680-VII “On the Special Procedure of local self-government in some districts of Donetsk and Luhansk regions” of 16.09.2014 and Resolution of the Verkhovna Rada of Ukraine No. 254-VIII “On recognizing certain counties, cities, towns and villages in Donetsk and Luhansk Oblasts as Temporarily Occupied Territories” of 17.03.2015.

 1 It is understood to mean that the cost of “Noxprey, 0,05% nasal spray – 10 ml”  equals to the cost of “Promotional pack: Noxprey, 0,05% nasal spray – 10 ml + Noxprey Aqua, isotonic solution – 20 ml” during the period of selling the products by the manufacturer to the distributors. The promotion is valid on the whole territory of Ukraine (excluding the Autonomous Republic of Crimea and temporarily occupied territories in Donetsk and Luhansk regions) commencing from 01.01.2020 until manufacturer`s warehouse runs out of inventory for the promotional items.  2 The word combination “treatment of a runny nose” and “treat a runny nose” shall be understood to mean symptomatic treatment of acute respiratory diseases (ARD), accompanied by nasal congestion, allergic rhinitis or vasomotor rhinitis.

3 The word “clear up” shall be understood to mean reduction of swelling of the nasal mucosa and restoration of nasal breathing.
